This Agreement between Robinson Armament Co. and you applies to any order, purchase, receipt, delivery or use of any products and services (collectively, “Product(s)”) directly from Robinson Armament Co. or any of its subsidiaries or affiliates (“RA”).
Acceptance and Payment Terms. Advertised prices are in U.S. dollars and exclude shipping, handling and taxes unless otherwise noted. Orders are deemed accepted only when fulfilled. You are responsible for paying all taxes associated with your order. RA may change prices and specifications without notice to you prior to shipping. Payment is due at the time stated in your invoice or when Product is shipped unless RA has extended credit to you. Amounts not paid when due bear interest at the rate of 1.5% per month (18% per annum) or the highest rate allowed under applicable law, whichever is lower. In any action to collect any unpaid amounts owed to RA for the Products, RA shall be entitled to recover its costs and attorneys’ fees. RA reserves the right to refuse to sell to any person or entity at any time for any reason.
Shipping and Title. RA will arrange to ship Products to you. Risk of loss to Products pass to you when RA’s designated shipper delivers Products to the address you specify. You must notify RA of damaged or missing items from your order within fifteen (15) days after you receive your Products. Title to the Products pass to you when the Product only after payment and delivery.
Return Policy. You may return Products within 15 days after you receive them. Once you notify RA of your intention to return Products or cancel services you will be advised of RA’s return procedures. You must return Products within 7 days after you have received all authorization and return materials from RA. RA will refund the original purchase price of Products and unperformed services (including related sales taxes), subject to the provisions below. ORIGINAL SHIPPING & HANDLING,
DELIVERY AND SIMILAR FEES ARE CONSIDERED SERVICES ALREADY CONSUMED AND ARE THEREFORE NOT REFUNDABLE. YOU ARE RESPONSIBLE FOR PROPERLY PACKAGING PRODUCTS TO BE RETURNED AND FOR DELIVERING THE PRODUCTS TO THE COMMON CARRIER DESIGNATED BY RA. YOU ARE RESPONSIBLE FOR ANY DAMAGE TO YOUR PRODUCT DURING RETURN SHIPMENT.
WARNINGS. YOU AGREE TO READ AND ADHERE TO ALL SAFETY WARNINGS CONTAINED IN THE OPERATORS’ MANUAL. IF YOU ARE PURCHASING THE PRODUCTS FOR RESALE, YOU AGREE TO WARN THE PURCHASER OF THE PRODUCTS TO READ SUCH WARNINGS AND TO TRANSFER THE OPERATORS’ MANUAL TO THE PURCHASER WITH THE PRODUCTS.
LIMITED WARRANTY. RA’S OBLIGATIONS WITH RESPECT TO THE PRODUCTS ARE STRICTLY LIMITED TO THE RA LIMITED WARRANTY AGREEMENT (THE “WARRANTY”) LOCATED IN THE OPERATORS’ MANUAL FOR THE PRODUCTS. THE WARRANTY CONTAINS THE ONLY WARRANTIES MADE BY RA AND RA DOES NOT MAKE AND YOU HEREBY EXPRESSLY WAIVE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Modifications. You agree not to modify any of the Products without specific written permission of RA. Any modifications to the Products by You will fall outside the Warranty, and will be Your sole responsibility.
LIMITATIONS OF LIABILITY. NEITHER PARTY SHALL HAVE ANY LIABILITY WITH RESPECT TO ITS OBLIGATIONS UNDER THIS AGREEMENT OR OTHERWISE FOR LOSS OF GOODWILL, OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES, WHETHER IN TORT OR IN CONTRACT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL EITHER PARTY’S LIABILITY UNDER THIS AGREEMENT EXCEED THE AMOUNT PAID OR PAYABLE BY YOU FOR THE PRODUCTS UNDER THIS AGREEMENT. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, RA SHALL NOT BE LIABLE FOR AND YOU SHALL DEFEND, INDEMNIFY AND HOLD RA HARMLESS FROM ANY DAMAGE OR INJURY WHICH RESULTS FROM THE IMPROPER USE OF THE PRODUCTS, MODIFICATION TO THE PRODUCTS, ILLEGAL USE OF THE PRODUCTS, OR FAILURE TO FOLLOW THE WARNINGS CONTAINED IN THE OPERATORS’ MANUAL FOR THE PRODUCTS.
Legal Use. You agree to use and transfer the product only in accordance with all applicable local, state, and federal laws and regulations.
